"Client," "you," or "your" refers to the business or individual engaging our services.
"Services" means the web design, mobile app development, web marketing, e-commerce builds, and related deliverables provided by Gramscode.
2. Services provided
Gramscode offers web design and digital services, including but not limited to website design and development, mobile app development, web marketing, and e-commerce builds. All services are tailored to client needs and provided based on agreed scopes of work.
3. Use of services
Clients agree to provide accurate, complete information necessary for the delivery of our services. You must not misuse our services or use them for unlawful activities.
4. Fees and payment
All fees will be outlined in a formal proposal or contract. Payment terms are typically 30 days from the invoice date unless otherwise agreed. Late payments may incur interest charges.
5. Intellectual property
All design files, code, content, and materials created by Gramscode during the engagement remain the property of Gramscode unless explicitly transferred in writing. Once the project is paid in full, the client receives a non-exclusive, non-transferable license to use the deliverables for their business.
6. Confidentiality
Both parties agree to maintain the confidentiality of all sensitive information shared during the course of the engagement. This obligation continues even after the termination of the services.
7. Liability
Gramscode shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability is limited to the amount paid by the client for the services provided.
8. Termination
Either party may terminate the engagement with written notice. Clients are responsible for payment for services rendered up to the date of termination.
9. Changes to terms
We reserve the right to update these Terms and Conditions at any time. The latest version will always be available on our website.
10. Governing law
These Terms and Conditions are governed by the laws of England and Wales, and any disputes will be resolved in the appropriate courts of that jurisdiction.
